After a couple of years of rapid revenue growth, going into a declining economic environment, the business direction of our software, installation services, and content technologies company was continuing to evolve and was occupying much of the time of the key management group. With just over 20 employees at the time, HRI’s initial involvement was on a project basis – conducting a HR Assessment to establish a “roadmap” for where the company was on human resource subjects across the board. Through this assessment, clear priorities were established and we insourced a HRI professional on site to address these items and provide the company with a “go to” HR professional. Our HRI resource saw us through a wide variety of challenges and opportunities as we continued to build the business – allocating 1 – 3 days / per week to us, depending on our need. At over 60 employees, with continued market success, we were acquired by a larger company. HRI assisted us through the due diligence and integration process to the point where we were being supported through our acquiring company’s HR function. HR-related due diligence support - Buy side.  During an intensive 5 month period HR Insourcing worked diligently with management of our 55-person, equity-backed automation services firm to assess and successfully complete the acquisition of a complimentary closely-held business that would more than double our size (with their additional 80 employees). In the course of this time period, similarities and differences in policies, procedures, benefits, organizational structure and culture were objectively analysed with recommendations on how best to align the businesses going forward. This activity included visits to the varied locations with very specific fact-finding agendas. HR Insourcing was also tasked with providing input to the CEO and CFO regarding possibly redundant personnel. Upon closing the transaction, HRI had prepared documentation relative to offer letters, retention bonuses, terminations and severance arrangements and participated with senior management in the varied discussions that accompanied these communications at three sites.

Having worked with HR Insourcing before, we find it efficient and cost-effective to have  the dual benefit of talking through an issue with a HR professional when that’s what is needed, but also, through HRI, getting input from top notch legal authorities, when dealing with a particularly difficult item. Our relationship with HR Insourcing gives us ready access  to properly develop a response. We are better prepared internally for the day to day issues that arise, as well as anticipating broader implications needing consideration.
